User Agreement

1. Parties and Subject of the Agreement

1.1 Parties

This User Agreement ("Agreement") is entered into between KOZA LLC ("Koza Academy", "We", "Us", "Platform") and the users who use the Koza Academy platform ("User", "You").

1.2 Subject of the Agreement

This Agreement regulates the rights and obligations of the parties concerning the use of the Koza Academy platform.

1.0 Update Summary (October 25, 2026 — Version 5)

Where this summary conflicts with the older summaries and sections below, this summary applies.

What Koza offers: Find (study-partner suggestions, hi's and notes), Chat (direct messages and communities), study rooms and pomodoro, Events (online or in-person study meetups) and Feed. The AI assistant and mentorship were shut down on September 27, 2026; rooms have no camera or video calls.
Unlimited hi's and notes: The like / card allowance was removed; the "Like credits" item below no longer applies. Accounts may be restricted in case of abuse.
Koza Plus: Weekly and yearly subscriptions are sold through the Apple App Store and the price is shown on the purchase screen; a subscription renews at the same price and period until cancelled in your Apple account settings, and cancellations and refunds follow Apple's terms. Plus includes seeing who liked you, advanced filters and seeing who left you a note. Deleting your account does not cancel the subscription.
Age: Koza is for people aged 14 and over. Users aged 14-17 only see, match and message users aged 14-17; adults only adults. Accounts without a birth date are not shown to the 14-17 group.
Communities: Automatic community membership is currently not applied; you join communities yourself.
Account deletion: After "Delete account" your account is hidden right away; if you sign in within 14 days it comes back, otherwise it is permanently deleted. Deletion started on the website follows the same 14-day period.

1.0 Update Summary (July 23, 2026 — Version 2)

Matching: The platform suggests study buddies based on education, goal, track, study preferences and the province you choose. GPS location is not processed.
Automatic community membership: You are automatically added to an open community matching the education, goal and track you choose at sign-up; you can leave at any time.
Like credits: Free accounts start with 50 likes; each used like refills after 24 hours (up to 50). Each friend who signs up with your invite code adds +10. Credits may be revoked in case of abuse.
Koza Plus subscription: Weekly and yearly subscriptions are sold through the Apple App Store; prices are shown on the purchase screen. Subscriptions renew until cancelled in your Apple account settings; cancellations and refunds are subject to Apple's terms. Video co-study, advanced filters and "see who matched you" are part of Koza Plus.
Video calls: Available only between mutually matched users and subject to the community rules.

What is Koza Academy?

Koza Academy is a social learning platform where people can meet to discover each other and learn together. On the platform, you can:

Explore: Discover other users and view their profiles.
Meets: Create and join public or private meets.
Servers: Create and manage your own community servers.
Messaging: Communicate with other users.
Profile: Create a profile to introduce yourself.

Important: Koza Academy is not an educational content or course platform. The platform provides a social environment that facilitates users meeting and learning from each other.

2. Acceptance of the Agreement

2.1 Method of Acceptance

By:

Registering on the platform
Using the platform
Clicking the "I Agree" button

you are deemed to have accepted these Terms of Use.

2.2 Age Limit

Under 14: You may not use the platform.
14 and over: You may use the platform.

Minor Users:
If you are under 18, it is recommended that you use the platform with the knowledge of a parent or guardian.

2.3 Changes to the Agreement

The Platform reserves the right to change these Terms of Use at any time. Significant changes will be:

Notified via email
Announced within the platform
Indicated before they take effect

If you continue to use the platform after the changes are published, you are deemed to have accepted the new terms.

3. Account Creation and Security

3.1 Account Creation

Mandatory Information:

Email address
Date of birth
Password

Optional Information:

Profile picture
Biography
Education information
Skills and interests
Social media links

3.2 Account Security

Your Responsibilities:

Choosing a strong password
Keeping your password confidential
Ensuring the security of your account
Immediately reporting unauthorized access
Enabling two-factor authentication (recommended)

Prohibited:

Sharing your password with others
Using someone else's account
Creating an account with false information
Creating multiple accounts (without justification)

3.3 Account Ownership

The account belongs solely to the person who created it.
Accounts cannot be transferred or sold.
You are responsible for the accuracy of your account information.

4. Platform Usage Rules

4.1 General Code of Conduct

Permitted Behaviors:

Respectful and constructive communication
Sharing knowledge and learning
Building communities
Collaboration and mutual help
Text, voice, and video communication

Prohibited Behaviors:

Hate speech and discrimination
Harassment, bullying, and threats
Spam and unsolicited advertising
Fraud and misleading information
Copyright infringement
Obscene and inappropriate content
Violent content
Unauthorized sharing of personal information (doxxing)
Endangering platform security
Bots and automated systems (without permission)

4.2 Explore Usage Rules

On the Explore page, you can:

Discover other users
View profiles
Connect with others

Prohibited:

Sending spam messages
Harassing behavior
Creating a misleading profile

4.3 Meet Rules

A. Creating a Meet

Public Meets:

Visible on the Explore page
Anyone can join
Meet title and description are mandatory
An appropriate and descriptive name must be used

Private Meets:

Only invited individuals can join
Not visible on the Explore page
More private and secure

Meet Content Rules:

Relevant, educational content
Respectful conversation
Constructive discussions

Prohibited Meet Content:

Illegal activities
Hate speech
Obscene content
Spam and advertising (unrelated to learning)
Fraud

B. Participating in a Meet

You can participate via text, voice, or video.
You must abide by the meet's rules.
You must respect the instructions of the meet's host.
Report any disruptive behavior.

C. Meet Moderation

The person who creates a meet has the right to:

Manage participants
Remove disruptive users
Set the rules for the meet
End the meet at any time

4.4 Server Rules

A. Creating a Server

You can create community servers.
You can set the server name, description, and rules.
You can add and manage members.

Server Responsibilities:

The server owner is responsible for the content on the server.
Server rules must comply with Platform rules.
There is an obligation to report violations.

B. Server Membership

You must abide by the server rules.
You must respect the decisions of the server owner.
You can leave a server at any time.

C. Server Moderation

The Platform may:

Warn
Suspend
Permanently shut down non-compliant servers.

4.5 Messaging Rules

Permitted:

Messaging for learning and collaboration purposes
Respectful communication
Information sharing

Prohibited:

Spam messages
Harassing and disturbing messages
Unsolicited advertising and marketing
Fraudulent messages
Sharing inappropriate content

Blocking:

You can block any user you wish.
A blocked person cannot send you messages.

5. Content and Intellectual Property

5.1 User Content

Your Content:

Profile information
Meet content
Server content
Messages
Comments and posts

Content Responsibility:

You are solely responsible for the content you share.
You guarantee that your content is legal and complies with platform rules.
You must not infringe on any copyrights.

5.2 Content License

By sharing user content, you grant:

The Platform the right to display, store, and process your content.
This license is royalty-free, worldwide, and perpetual.
You retain ownership of your content.
You have the right to delete your content.

5.3 Platform Content

Owned by the Platform:

Koza Academy logo and brand
Platform design and interface
Software and code
Content produced by the Platform

Prohibited:

Copying Platform content
Reverse engineering
Using the logo without permission
Stealing Platform code

5.4 Copyright Infringements

If a copyright infringement is detected:

The content will be removed immediately.
The account will receive a warning.
The account will be terminated for repeated infringements.

6. Prohibitions and Restrictions

6.1 Strictly Prohibited Behaviors

Account and Security Violations:

Unauthorized access to others' accounts
Exploiting security vulnerabilities
DDoS and cyber attacks
Spreading malicious software
Creating fake accounts (catfishing)

Illegal Activities:

Drug trafficking
Arms dealing
Gambling and betting
Fraud and deceit
Money laundering

Harmful Content:

Child abuse content
Propaganda for violence and terrorism
Encouraging suicide and self-harm
Hate speech and discrimination
Harassment and bullying

Platform Misuse:

Sending spam and automated messages
Scraping (data collection)
API abuse
Consuming system resources excessively

6.2 Limited Use

We may impose limitations in the following cases:

Creating too many meets
Excessive messaging
Creating a large number of servers
Overusing platform resources

7. Rights and Obligations of the Platform

7.1 Rights of the Platform

The Platform has the following rights:

Moderation:

To review and remove content
To warn users
To suspend or terminate accounts
To shut down meets and servers

Service Changes:

To change platform features
To add new features
To remove features
To temporarily suspend the service

Commercial Decisions:

To add paid features
To display advertisements
To form business partnerships

7.2 Obligations of the Platform

The Platform:

Will make reasonable efforts to provide the service.
Will comply with the Privacy Policy.
Will act in accordance with the KVKK.
Will maintain the technical infrastructure.

The Platform is NOT responsible for:

User content
Events in meets and servers
Disputes between users
Third-party services

7.3 Content Moderation and Enforcement

The Platform enforces a zero-tolerance policy against objectionable and illegal content:

Detection Mechanism:

Detection of objectionable content through user reports
Content scanning via automated moderation systems
Evaluation of community reports

Content Removal:

Reported or detected objectionable content will be reviewed and removed within 24 hours
In cases of emergency (child abuse, terrorist propaganda, violence incitement), immediate action will be taken
Removed content is permanently deleted

User Sanctions:

Users who post objectionable content will be immediately removed from the Platform
Their accounts will be permanently banned and re-registration will be prevented
In cases of severe violations, authorities will be notified

Platform Commitment:

All objectionable content reports will be responded to within 24 hours and appropriate action will be taken
We ensure that users have a safe learning experience
Any content or behavior that does not comply with community rules will be addressed

Violation Types and Sanctions:

Child abuse content → Immediate removal, permanent ban, notification to authorities
Terrorist propaganda → Immediate removal, permanent ban, notification to authorities
Violence incitement → Immediate removal, permanent ban
Hate speech → Removal within 24 hours, permanent ban
Harassment and bullying → Review and appropriate sanctions
Profane and offensive content → Content removal and account suspension/ban
Profanity and insults in one-to-one messages are automatically masked with asterisks and carry no automatic warning or penalty; sanctions apply only after a user report is reviewed. Inappropriate photos are shown blurred and are not delivered in a conversation that includes a minor.
Abusive user behavior → Content removal, warning or ban

8. Account Suspension and Termination

8.1 Temporary Suspension

Reasons:

Violation of the Terms of Use
Detection of suspicious activity
Complaint and investigation process
Security reasons

Duration: 1 day to 30 days

8.2 Permanent Account Termination

Reasons:

Serious rule violations
Repeated violations
Illegal activities
Endangering the platform
Copyright infringements (repeated)

Consequences:

The account is permanently terminated.
All content is deleted.
A re-registration ban may be applied.

8.3 Right to Appeal

If your account is terminated:

You can file an appeal at: team@koza.social
Your appeal will be reviewed within 14 days.
The decision is final and binding.

9. Disclaimer and Limitation of Liability

9.1 "As Is" Service

The Platform provides its services "as is." It makes no warranties of any kind:

No guarantee of uninterrupted service
No guarantee of error-free operation
No guarantee of specific results

9.2 Limitation of Liability

The Platform is NOT liable for:

Damages arising from user content
Damages arising from service interruptions
Data loss
Actions of third parties
Disputes between users
Events that occur in meets and servers

Maximum Liability: The Platform's liability is limited to the fees you paid in the last 3 months (for paid services).

9.3 User Indemnification

In the event of harm to the Platform:

You agree to compensate for damages caused by you.
You agree to cover legal costs.
You commit to protecting the Platform.

10. Dispute Resolution

10.1 Contact First

If you have a problem:

Explain the issue.
Wait for a resolution (14 days).

10.2 Mediation

If communication does not provide a solution:

We may offer mediation.
An independent mediator will be appointed.
The parties will share the mediator's fee.

10.3 Jurisdiction and Applicable Law

Applicable Law: This Agreement is subject to the laws of the State of Wyoming and the United States of America.

Competent Court: The courts of Wyoming and the federal courts of the United States have jurisdiction.

For Users in Turkey: Consumers residing in Turkey can exercise their rights under the Turkish Consumer Law and apply to Consumer Arbitration Committees and Consumer Courts.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms of Use constitute the entire agreement between the parties and supersede all prior agreements.

11.2 No Assignment

Users may not assign their rights and obligations under this agreement.

The Platform may assign this agreement to third parties.

11.3 Waiver

The Platform's failure to exercise a right does not mean it has waived that right.

11.4 Severability

If any provision is found to be invalid, it does not affect the validity of the other provisions.

11.5 Electronic Communication

You are accepting this agreement electronically and agree to receive electronic notifications.

13. Final Provisions

These Terms of Use came into effect on October 22, 2025.

By using the platform, you declare and undertake that:

You have read these Terms of Use.
You understand and accept them.
You have read our Privacy Policy.
You are at least 14 years of age.
You will use the platform responsibly and legally.

The Koza Academy team is pleased to work with you to create a safe, respectful, and educational community.
